1. Acceptance of Terms

By accessing or using Real Estate Marketing AI ("the Service"), provided by Prompt Profit Studio ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms.

2. Service Description

Real Estate Marketing AI is a SaaS platform that uses AI (powered by Google Gemini) to generate real estate listing descriptions and social media posts. We offer:

• Free Tier: 5 listing generations per month (no credit card required)
• Pro Plan: Unlimited generations, priority processing, advanced features ($29/month)

3. User Accounts

3.1 Free Usage

You may use the free tier by providing an email address. You are responsible for maintaining the confidentiality of your session and for all activity under your account.

3.2 Pro Subscriptions

Pro subscriptions are billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

4. Acceptable Use Policy

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Generate false, misleading, or discriminatory content
• Use the Service for spam, phishing, or malicious activity
• Attempt to reverse engineer, hack, or exploit vulnerabilities
• Resell or redistribute our service without permission
• Abuse free tier limits (e.g., creating multiple accounts)

Violations may result in immediate termination of access without refund.

5. Intellectual Property

5.1 Our IP

The Service, including design, code, algorithms, and branding, is owned by Prompt Profit Studio. You may not copy, modify, or distribute our platform.

5.2 Your Content

You retain ownership of property data you input. By using the Service, you grant us a limited license to process your data to generate listings. We do not claim ownership of AI-generated content—you may use it freely for your business.

6. AI-Generated Content Disclaimer

AI-generated content is provided "as-is." While we strive for accuracy and quality:

• You are responsible for reviewing and editing output before publication
• We do not guarantee factual accuracy, compliance with fair housing laws, or fitness for specific purposes
• AI can make mistakes—always verify facts (square footage, pricing, zoning)

You assume all liability for how you use AI-generated content. We are not liable for listings that contain errors, misrepresentations, or legal violations.

7. Payment Terms

7.1 Billing

• Pro Plan: $29/month (billed monthly)
• Payment Method: Credit/debit card via Stripe
• Auto-Renewal: Subscriptions renew automatically unless canceled

7.2 Taxes

Prices do not include applicable sales tax, VAT, or GST. You are responsible for any taxes owed.

7.3 Price Changes

We may change pricing with 30 days' notice. Existing subscribers are grandfathered at their current rate (unless you cancel and resubscribe).

8. Cancellation and Refunds

• 14-Day Money-Back Guarantee: Full refund if you cancel within 14 days of your first charge
• Cancel Anytime: No penalties—access continues until the end of your billing period
• No Refunds After 14 Days: Unused portions of a billing cycle are non-refundable

9. Service Availability

We strive for 99.9% uptime, but the Service is provided "as-is" without guarantees. We may:

• Perform scheduled maintenance (with advance notice)
• Experience downtime due to third-party service outages (e.g., Google Cloud, Stripe)
• Suspend access for violations of these Terms

We are not liable for lost revenue, data, or opportunities due to service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for indirect, incidental, or consequential damages (lost profits, data loss, business interruption)
• Our total liability is limited to the amount you paid us in the past 12 months (or $100, whichever is greater)
• We do not warrant that the Service is error-free, secure, or uninterrupted

Some jurisdictions do not allow liability limitations—if you reside in such a jurisdiction, the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Prompt Profit Studio, its employees, and partners from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of third-party rights (e.g., fair housing laws, defamation)

12. Termination

We may terminate or suspend your access immediately, without notice, if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Abuse the Service (e.g., excessive API calls, spam)

You may terminate your account by canceling your subscription. Upon termination, all rights granted to you under these Terms cease immediately.

13. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration (American Arbitration Association rules), except for small claims court disputes. You waive the right to a jury trial or class action lawsuit.
